These Terms of Use ("Terms") govern your access to and use of the services provided by Astra Capital Group LLC (referred to herein as "Kavsis," "we," "us," or "our"). By subscribing to or using our services, you ("Client," "you," or "your") agree to comply with and be bound by these Terms.
1. Service Overview
1.1 Subscription Plans
We provide developer staffing services on a subscription basis. Clients may choose from:
Part-Time: 80 hours per month (4 hours/day, 5 days/week).
Full-Time: 160 hours per month (8 hours/day, 5 days/week).
1.2 Service Scope
We offer technical development, software engineering, and IT support based on the agreed-upon subscription plan between Kavsis and the client.
1.3 Payment Obligations
All services provided are paid services. A 15-day payment term applies to all subscriptions.
Important: The 15-day payment term is not a free trial. Clients are required to make payments for the services used.
1.4 CRM Management
To manage our services, we collect and store client information, including but not limited to:
Company name, address, website URL, and phone number.
First and last names, email addresses, and any files or media shared with us.
The information collected is used to manage your subscription and communication with you.
1.5 Service Modifications
We reserve the right to modify or discontinue any aspect of the services at any time.
Clients will be notified of any significant changes to the scope of the service or subscription plan.
2. Payment Terms
2.1 Payment Due Date
First Payment: The first payment is due 15 days after the client starts using the service.
Subsequent Payments: After the first payment, all future payments are due at the beginning of each month, not every 15 days.
Important: The 15-day payment term is not a free trial, and all usage during this period is chargeable.
2.2 Grace Period
A grace period of 3 additional days will be provided to make overdue payments.
If payment is not received within this grace period, the client will be banned from further use of services.
2.3 Service Suspension
If payment is not made by the 15th day or within the 3-day grace period, services will be paused until payment is made in full.
2.4 Debt Collection
If payment is not received within the grace period, the outstanding account may be transferred to a debt collection agency, and additional fees may apply.
2.5 Refunds
No refunds will be issued for subscription fees once the service has been provided. Payments are final and non-refundable.
2.6 Payment Methods
Payments must be made via bank transfer. No credit card information is stored or processed by Kavsis.
3. Developer Work Guidelines
3.1 Work Hours
Part-Time Developers: Work 4 hours/day, 5 days/week, totaling 80 hours/month.
Full-Time Developers: Work 8 hours/day, 5 days/week, totaling 160 hours/month.
3.2 Work Scope and Limits
Part-Time developers will not exceed their agreed-upon hours (80 hours/month). If additional work is required, the client must upgrade to a Full-Time subscription (160 hours/month).
Full-Time developers are expected to work for 8 hours/day, 5 days/week.
3.3 Client Responsibility
Clients are responsible for providing clear project guidelines, managing communication, and ensuring that work remains within the agreed scope.
Developers should not be abused or mistreated while working with the client.
4. Contract Management and Terms
4.1 Service Contract
Before receiving services, clients must sign a formal service contract. The contract will outline the subscription plan and payment terms. No additional details regarding the project scope are required in the contract.
4.2 Contract Activation
The service contract will be considered active once the signed agreement is received by Kavsis.
4.3 Contract Termination
Kavsis reserves the right to terminate any contract in the event of non-payment, violation of Terms, or abuse of developers.
Clients will be given a 3-day grace period to resolve any payment issues before termination of services.
5. Data Protection and Privacy
5.1 Data Storage
Kavsis collects and stores personal and business information in our CRM system. This includes:
Company name, address, phone number, email address, and any media shared with us.
All data is stored securely and used solely for managing the client relationship and services provided.
5.2 Data Sharing
Client data may be shared with:
Developers: For the purpose of delivering the services agreed upon in the contract.
Debt Collection Agencies: In the event of non-payment, in accordance with the payment terms.

6. Rights and Obligations of the Client
6.1 Client Rights
Clients have the right to access the services they have subscribed to within the scope and hours outlined in their agreement.
Clients may request a change to their subscription plan (e.g., from Part-Time to Full-Time) at any time by contacting us in writing.
6.2 Client Obligations
Clients must ensure that payments are made on time to avoid service interruptions.
Clients must provide accurate and up-to-date information during the subscription process and notify us of any changes.
Clients agree to treat developers professionally and respectfully at all times.
7. Service Modifications and Termination
7.1 Modification of Terms
Kavsis reserves the right to modify or update these Terms at any time. Clients will be notified of any significant changes via email or our website.
Continued use of the service after the modification of terms constitutes acceptance of the changes.
7.2 Termination of Services
Either party may terminate services by providing written notice to the other party.
If services are terminated due to non-payment, clients will still be liable for any outstanding fees.
8. Limitation of Liability
8.1 Liability
Kavsis is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
Kavsis is not responsible for delays in service caused by the client’s failure to make timely payments or provide necessary project materials.
8.2 Indemnification
Clients agree to indemnify and hold Kavsis harmless from any claims, losses, or damages arising out of their use of the services or violation of these Terms.
9. Dispute Resolution
9.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA.
Any disputes that arise under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts in Delaware, USA.
